Through the use of this website, you are hereby accepting the terms and conditions listed below and stipulated within the Privacy Policy Agreement, the Store Policies, and the Return Policy. If you are not in agreement with our terms and conditions, then you should refrain from further use of our sites. In addition, your continued use of our website following the posting of any updates or changes to our terms and conditions shall mean that you are in agreement and acceptance of such changes. We reserve the right to update these terms without notice. 

Production Commitment:

All Flat Vernacular products are made to order. Full payment is required before production begins. Once payment is received and production has commenced, orders cannot be cancelled, modified, or refunded except as described in our Store Policies. By completing your purchase, you acknowledge that you have read and agreed to these terms.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLAT VERNACULAR’S TOTAL LIABILITY TO ANY CUSTOMER OR THIRD PARTY ARISING FROM THE SALE OR USE OF ITS PRODUCTS SHALL NOT EXCEED THE TOTAL PURCHASE PRICE ACTUALLY PAID BY THE CUSTOMER FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM. IN NO EVENT SHALL FLAT VERNACULAR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, COST OF REMOVAL OR REINSTALLATION, PROPERTY DAMAGE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Claims:

All claims — including claims for shortage, damage, defect, or misprint — must be submitted in writing to info@flatvernacular.com within 7 calendar days of the confirmed delivery date. Claims received after this period will not be accepted. The claim period begins on the date of the first delivery attempt as recorded by the carrier.

Defect Tolerance Standard:

Due to the nature of digital and hand-made production, the following variations are inherent to the manufacturing process and are not considered manufacturing defects: (a) color variation within 10% of the approved strike-off or standard colorway reference; (b) pattern repeat misalignment of up to 1/4 inch per repeat; (c) minor variation in ink density or texture across a run. Products exhibiting variations within these tolerances are not eligible for return, replacement, or refund.

Monitor Display Variation:

Color representation on digital displays varies by device and monitor calibration. The actual color of your order may differ from what appears on your screen. All colors are produced to match the approved strike-off sample or the color standard on file for standard colorways. We strongly recommend ordering a physical sample before placing a full production order. Flat Vernacular is not responsible for color variations attributable to differences between screen display and printed output.

Intellectual Property Indemnification (White Labeling & Creative Services Work):

By submitting artwork, logos, or design files to Flat Vernacular for custom production, the customer represents and warrants that: (a) the customer is the owner of, or has the legal right to use and reproduce, all submitted materials; (b) the submitted materials do not infringe the intellectual property rights, privacy rights, or other proprietary rights of any third party; and (c) the customer has the authority to grant Flat Vernacular a license to reproduce the submitted materials for the purpose of fulfilling the order.

The customer agrees to indemnify, defend, and hold harmless Flat Vernacular LLC and its officers, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to any third-party claim that the submitted materials infringe any intellectual property or other proprietary right.

Professional Installation Requirement:

All Flat Vernacular wallcovering products must be installed by a qualified professional wallcovering installer — defined as an individual with demonstrated experience installing the specific wallcovering type ordered (e.g., paste-the-wall, peel-and-stick, fabric-backed). Flat Vernacular assumes no liability for damage, failure to adhere, pattern misalignment, or aesthetic defects resulting from improper installation. Claims will not be honored if the product has been installed by someone who does not meet this standard.

Force Majeure:

Flat Vernacular shall not be held liable for any delay or failure in production or delivery resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, pandemic, supply chain disruptions, material shortages, labor disputes, carrier delays, or government-mandated restrictions. In such circumstances, Flat Vernacular will notify the customer of the delay and provide a revised estimated timeline. The customer’s sole remedy for force majeure delays is the option to cancel the unproduced portion of the order and receive a refund for any unproduced product.

Disclaimer of Implied Warranties:

ALL PRODUCTS ARE SOLD “AS IS” WITH ALL FAULTS. FLAT VERNACULAR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW.

Governing Law:

These terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of laws principles. Any dispute arising from these terms or any purchase from Flat Vernacular LLC shall be resolved exclusively in the Connecticut Superior Court for the Judicial District of Stamford. The parties waive any right to a jury trial to the extent permitted by applicable law. This provision is binding on all purchasers, including those who transact via the website.
